End User License Agreement (EULA)

Effective Date: January 1, 2025

IMPORTANT: This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and CLogicFactory for the Expert Advisor software product(s) identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT" or "EA").

By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms and conditions of this Agreement, CLogicFactory hereby grants you a non-exclusive, non-transferable, limited license to use the SOFTWARE PRODUCT according to the license type purchased:

Single License:

Installation on up to 3 MT4/MT5 terminals
Use on accounts registered in your name only
One live account and unlimited demo accounts

Multi License:

Installation on up to 10 MT4/MT5 terminals
Use on accounts registered in your name only
Up to 3 live accounts and unlimited demo accounts

Unlimited License:

Unlimited installations on MT4/MT5 terminals
Use on accounts registered in your name only
Unlimited live and demo accounts

2. License Activation

The SOFTWARE PRODUCT requires activation using a unique license key provided upon purchase. Activation details include:

License keys are unique and tied to your purchase
Activation requires internet connection for verification
License verification may occur periodically during use
Account numbers must be registered during activation
License transfers between accounts may be limited

3. Restrictions

You may NOT:

Distribute, sell, lease, rent, lend, or sublicense any part of the SOFTWARE PRODUCT
Share your license key with any third party
Use the SOFTWARE PRODUCT on accounts not registered in your name
Reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT
Modify, adapt, translate, or create derivative works
Remove or alter any proprietary notices or labels
Use the SOFTWARE PRODUCT for any illegal purpose
Use the SOFTWARE PRODUCT to manage third-party funds without proper authorization
Circumvent or attempt to circumvent the license activation system
Use the SOFTWARE PRODUCT on more accounts than your license permits

4. Intellectual Property Rights

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

All title, ownership rights, and intellectual property rights in and to the SOFTWARE PRODUCT (including but not limited to any images, text, and "applets" incorporated into the SOFTWARE PRODUCT) are owned by CLogicFactory.

You acknowledge that no title to the intellectual property in the SOFTWARE PRODUCT is transferred to you. You further acknowledge that title and full ownership rights to the SOFTWARE PRODUCT will remain the exclusive property of CLogicFactory.

5. Updates and Support

Your license includes:

Free updates to the SOFTWARE PRODUCT for the license duration
Technical support via email during business hours
Access to documentation and user guides
Bug fixes and performance improvements

CLogicFactory reserves the right to charge for major version upgrades or additional features not included in the original purchase.

6. Term and Termination

License Duration:

Lifetime License: Perpetual use with no expiration
Annual License: Valid for one year from activation date
Monthly License: Valid for 30 days from activation date

Termination:

This license will terminate immediately without notice from CLogicFactory if you fail to comply with any provision of this Agreement. Upon termination:

You must destroy all copies of the SOFTWARE PRODUCT
Your license key will be deactivated
You will lose access to updates and support
No refund will be provided for license violations

7. Disclaimer of Warranties

THE SOFTWARE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

CLogicFactory does not warrant that the SOFTWARE PRODUCT will meet your requirements, that operation will be uninterrupted or error-free, or that all defects will be corrected. The entire risk arising out of the use or performance of the SOFTWARE PRODUCT remains with you.

8. Limitation of Liability

IN NO EVENT SHALL CLOGICFACTORY OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, TRADING LOSSES, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF CLOGICFACTORY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify, defend, and hold harmless CLogicFactory, its officers, directors, employees, agents, and suppliers from and against any claims, actions, demands, liabilities, and settlements, including without limitation, reasonable legal and accounting fees, arising from or related to your use or misuse of the SOFTWARE PRODUCT or your violation of this Agreement.

10. Privacy and Data Collection

The SOFTWARE PRODUCT may collect and transmit certain data including:

Account numbers for license verification
Trading statistics for performance monitoring
Error logs for technical support
Usage patterns for product improvement

All data collection and usage is governed by our Privacy Policy. We do not collect or store sensitive information such as account passwords or personal trading strategies.

11. Export Restrictions

You acknowledge that the SOFTWARE PRODUCT may be subject to export controls imposed by various countries. You agree not to export or re-export the SOFTWARE PRODUCT to any country, person, or entity subject to export restrictions.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in [Your Jurisdiction], and you hereby consent to personal jurisdiction and venue therein.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and CLogicFactory relating to the SOFTWARE PRODUCT and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the SOFTWARE PRODUCT or any other subject matter covered by this Agreement.

14. Severability

If any provision of this Agreement is held to be void, invalid, unenforceable, or illegal, the other provisions shall continue in full force and effect.

15. No Waiver

The failure of CLogicFactory to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by CLogicFactory in writing.

16. Acknowledgment

BY INSTALLING OR USING THE SOFTWARE PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU ALSO AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN YOU AND CLOGICFACTORY AND SUPERSEDES ALL PROPOSALS OR PRIOR AGREEMENTS, VERBAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND CLOGICFACTORY RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
