1. Acceptance of Terms

By accessing or using CLogicFactory's website, services, or purchasing our Expert Advisors (EAs) and trading software products, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services or purchase our products.

CLogicFactory reserves the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified Terms.

2. Products and Services

CLogicFactory provides automated trading software known as Expert Advisors (EAs) for MetaTrader 4 (MT4) and MetaTrader 5 (MT5) platforms. Our products include but are not limited to:

C-ore EA - Core trading algorithm
C-gnal EA - Signal-based trading system
Nexus EA - Advanced multi-strategy system
C-ure EA - Risk management focused EA
Hydra HX EA - Multi-pair trading system

3. CRITICAL RISK DISCLOSURE

TRADING FOREIGN EXCHANGE (FOREX) AND CONTRACTS FOR DIFFERENCES (CFDs) ON MARGIN CARRIES A HIGH LEVEL OF RISK AND MAY NOT BE SUITABLE FOR ALL INVESTORS.

The high degree of leverage can work against you as well as for you. Before deciding to trade foreign exchange or CFDs, you should carefully consider your investment objectives, level of experience, and risk appetite.

THE POSSIBILITY EXISTS THAT YOU COULD SUSTAIN A LOSS OF SOME OR ALL OF YOUR INITIAL INVESTMENT AND THEREFORE YOU SHOULD NOT INVEST MONEY THAT YOU CANNOT AFFORD TO LOSE.

You should be aware of all the risks associated with foreign exchange and CFD trading, and seek advice from an independent financial advisor if you have any doubts.

4. License Grant and Restrictions

Upon purchase and subject to payment, CLogicFactory grants you a non-exclusive, non-transferable license to use the purchased EA(s) according to the following terms:

Personal use only on accounts registered in your name
Installation on the number of accounts specified in your license
No redistribution, resale, or sharing of the EA files or license keys
No reverse engineering, decompiling, or modification of the software
No use for illegal activities or market manipulation

Violation of these restrictions will result in immediate termination of your license without refund.

5. Payment Terms

All payments are processed through Paddle.com Market Limited ("Paddle"), our authorized payment processor and merchant of record. By making a purchase, you agree to Paddle's Terms of Service and Privacy Policy.

Prices are displayed in USD and may be subject to applicable taxes based on your location. All sales are final except as outlined in our Refund Policy.

6. Refund Policy

We offer a 30-day conditional money-back guarantee from the date of purchase, subject to the following conditions:

The EA has not been activated or used in live trading
Technical support was contacted and unable to resolve any issues
Refund request is submitted within 30 days of purchase
No evidence of fraud, abuse, or violation of license terms

Once an EA has been activated and used in trading, the refund option is no longer available as the digital product has been consumed. For full refund policy details, please see our dedicated Refund Policy page.

7. No Financial Advice

CLOGICFACTORY DOES NOT PROVIDE INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE.

Our EAs are tools for automated trading and should not be considered as financial advice or recommendations. You are solely responsible for your trading decisions and should conduct your own research and consult with qualified professionals before trading.

We do not guarantee any specific results or profits. Trading performance depends on numerous factors including market conditions, broker execution, and your individual settings and risk management.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The EA will meet your specific requirements or expectations
The EA will be uninterrupted, error-free, or completely secure
Any profits or specific results will be achieved
The EA will be compatible with all brokers or account types

9. Limitation of Liability

IN NO EVENT SHALL CLOGICFACTORY, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any damages shall not exceed the amount you paid for the product that gave rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless CLogicFactory and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of our products or violation of these Terms.

11. Intellectual Property

All EAs, software, content, and materials on our website are the property of CLogicFactory and are protected by international copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

12. User Responsibilities

You are responsible for:

Maintaining the confidentiality of your license keys and account information
Ensuring compatibility with your broker and trading platform
Understanding the risks involved in automated trading
Complying with all applicable laws and regulations in your jurisdiction
Properly configuring and monitoring your EA settings
Maintaining adequate capital and risk management

13. Termination

We reserve the right to terminate or suspend your license and access to our products immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the EA will cease immediately.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the courts of [Your Jurisdiction].

15. Severability
